These Terms of Service (“Terms”) govern your access to and use of the Bitoshi platform, websites, dashboard, hosted checkout, and API (together, the “Service”), operated by Bitoshi International LLC (“Bitoshi”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. What Bitoshi is (and is not)
Bitoshi is a non-custodial payment facilitation platform. We provide software that lets you (the “Merchant”) accept card and cryptocurrency payments from your customers and receive settlement in stablecoins (such as USDC or USDT) directly to a blockchain wallet address that you control. Payment processing and on-ramp conversion are performed by third-party providers (including PayGate). Bitoshi never takes custody of your funds and does not hold, control, or have access to your wallet or private keys.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the information you provide, for maintaining the security of your account credentials, and for all activity under your account. You must provide a wallet address you own and control; you are solely responsible for the safety of your wallet and keys.
3. Merchant responsibilities
- Comply with all laws applicable to your business, including tax, consumer-protection, and anti-money-laundering rules.
- Only sell goods and services permitted under our Acceptable Use Policy.
- Provide your customers with accurate descriptions, pricing, and a refund/return policy.
- Handle your own customer support, refunds, and disputes (see our Refund & Dispute Policy).
- Verify wallet addresses and settlement details; on-chain transactions are irreversible.
4. Fees
We charge a platform commission as described on our pricing page. Third-party providers (card/on-ramp processors and the settlement infrastructure) charge their own fees, which are shown separately and are not set by Bitoshi. Network (gas) fees may apply to on-chain settlement. Fees may change with notice as described in Section 10.
5. Third-party services
The Service relies on third parties (including PayGate for payment processing and on-ramp, SMTP2GO for email, and infrastructure and DNS providers). Your use of those services may be subject to their terms. We are not responsible for the acts, omissions, availability, or policies of third-party providers.
6. Prohibited use
You may not use the Service for any unlawful, fraudulent, or prohibited activity, or in violation of the Acceptable Use Policy. We may suspend or terminate access for suspected violations.
7. No financial or investment advice
Bitoshi does not provide financial, legal, tax, or investment advice. Stablecoins and other digital assets carry risks, including the risk of a stablecoin losing its peg. You are responsible for your own decisions and for any tax reporting.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any third-party provider will perform.
9. Limitation of liability
To the maximum extent permitted by law, Bitoshi will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenues, data, or funds, arising from or related to your use of the Service. Because Bitoshi is non-custodial, we are not responsible for funds sent to, held in, or lost from a wallet you control, or for losses caused by third-party providers or blockchain networks. Our aggregate liability is limited to the platform commission you paid to us in the three months preceding the claim.
10. Changes and termination
We may modify the Service or these Terms. Material changes will be posted here with an updated date and, where appropriate, notified by email. Continued use after changes take effect constitutes acceptance. You may stop using the Service at any time; we may suspend or terminate accounts that violate these Terms.
11. Governing law
These Terms are governed by the laws of Belize, without regard to conflict-of-laws rules. Disputes will be subject to the courts of Belize, unless applicable law requires otherwise.
